Weilion Holdings (C-Corp): The master management entity responsible for the platform’s technology, ecosystem growth, and property operations.

Weilion USA (Series LLC): The asset-holding entity. Each building is legally isolated within its own “Series”, ensuring that liabilities are never cross-contaminated between properties.

  1. Equity Interest & Limited Governance Weilion offers Fractional Equity Ownership, providing a balance between security and efficient management:

Economic Interests: Each token represents a direct ownership stake in the specific Series LLC holding the property. Holders are entitled to their pro-rata share of monthly net rental income and capital appreciation.

Operational Control: To ensure professional management, Weilion Holdings retains full executive authority over property operations, maintenance, and leasing strategies.

The “Major Decision” Voting Right: Token holders are granted a specific, exclusive voting right regarding Asset Disposition. Any proposal to sell the underlying property must be approved by a majority vote of the specific Series token holders. This ensures investors have the final say on the exit strategy.

  1. Regulatory Compliance (SEC) All offerings are structured to comply with U.S. Securities and Exchange Commission (SEC) guidelines:

Regulation D (506c): For verified U.S. Accredited Investors.

Regulation S: For international participants.

KYC/AML: Compulsory AI-driven Identity Verification (AID) is required for all participants to ensure a secure and compliant ecosystem.

  1. Weilion Mortgage Protocol (WMP) To provide liquidity, tokens can be used as collateral in our P2P lending marketplace:

Collateralized Debt: Holders may borrow USDC against their equity tokens.

90-Day Default Rule: If interest obligations are not met for 90 consecutive days, the smart contract will execute a digital foreclosure, transferring token ownership to the lender.

Please be advised that every equity token on the Weilion platform is legally tethered to real property deeds recorded in local county offices (Lafayette, LA & Las Vegas, NV). Weilion Holdings maintains 100% insurance coverage on all physical assets to protect investor capital against unforeseen events, ensuring that your “Real-World Yield” remains stable and secure.
